1. Definitions
"PartQuote": PartQuote (Dutch Chamber of Commerce [KvK pending], VAT [BTW pending]). "Customer": the party submitting a quote request via the Platform. "Supplier": the CNC manufacturing company executing the work. "Platform": the online service available at PartQuote domain. "Quote": the price computed by PartQuote's parser or by a PartQuote engineer.
2. PartQuote's role
PartQuote acts as a broker between Customers and Suppliers and does not perform CNC machining itself. Per quote, PartQuote selects a Supplier based on capacity, quality and price.
The manufacturing contract is between Customer and PartQuote, with PartQuote subcontracting execution to a Supplier. PartQuote invoices the Customer.
3. Quote and acceptance
Quotes via the instant-quote flow are computed by our parser based on the Customer's uploaded STEP file and machining specification. For batch and target-price requests, an engineer prices the request manually within 24-48 hours.
Quotes are valid for 30 days from issue. After this period the quote expires automatically and must be re-requested.
Acceptance of a quote by the Customer through the Platform is binding and cannot be unilaterally revoked (see Article 6 on cancellation).
4. Supplier selection
After acceptance, the order is shown to qualified Suppliers, who apply for the job through a binding application. PartQuote assigns one Supplier; this assignment is binding from that moment.
The Customer has no influence over Supplier choice and is not entitled to identification of the Supplier. The Customer communicates with PartQuote only.
5. Lead time
The displayed lead time is an estimate in working days from order confirmation to delivery at the Customer's specified address. For multi-part orders the longest part lead time applies.
Lead times are target dates, not strict deadlines. If exceeded by more than 5 working days, the Customer may discuss remediation (credit, re-production or cancellation per Article 6).
6. Cancellation
The Customer may cancel an accepted order as long as it has NOT been assigned to a Supplier (status `open_for_applications`). In that case all obligations on both sides lapse.
Once assigned to a Supplier (status `in_production` or later), cancellation through the Platform is no longer possible. In exceptional cases the Customer may email support@partquote.eu requesting cancellation; PartQuote will discuss this with the assigned Supplier. Costs already incurred (material, machine time, transport) remain payable in full.
If PartQuote cancels (e.g. no Supplier can execute), any amount already paid is refunded within 14 days.
7. Price and payment
Prices are in euro, exclusive of VAT unless stated otherwise. For B2B customers within the EU with a valid VAT id, the reverse-charge mechanism applies (0% VAT); the Customer is responsible for VAT remittance in their own country.
Invoicing happens after production completion. Payment term is 14 days from invoice date unless agreed otherwise in writing.
Late payment incurs statutory commercial interest without notice and PartQuote is entitled to extra-judicial collection costs.
8. Ownership and intellectual property
The Customer retains ownership of uploaded CAD files and any related rights. The Customer grants PartQuote and the assigned Supplier a usage right limited to executing this specific order.
PartQuote and all Suppliers are bound by an NDA and a Data Processing Agreement. Customer files may not be used or shared for any other purpose.
Ownership of the produced part transfers to the Customer upon full payment.
9. Liability
PartQuote is not liable for indirect damage, consequential damage or loss of profit. PartQuote's liability is in all cases capped at the invoice amount of the order in question.
Liability for production defects is limited to re-production or credit at PartQuote's choice, provided the Customer notifies in writing within 14 days of receipt.
The Customer is responsible for the suitability of the supplied CAD geometry. PartQuote and the Supplier produce the part according to the supplied STEP file; deviations from the original design are the Customer's responsibility.
10. Privacy
Personal data is processed in accordance with our Privacy Policy (/privacy).
11. Disputes
These terms are governed by Dutch law. Disputes are submitted to the competent court in the district where PartQuote is registered.
